Scott Handwerker is a Partner and Chair of the Firm’s Corporate Group, practicing in the areas of business and corporate law, real estate, M&A, secured financings and venture capital. He has helped innumerable buyers, sellers, borrowers, lenders and investors with business and real estate sales, acquisitions, financings and refinancings. Mr. Handwerker also frequently represents startup companies from seed funding through exits, as well as alternative investors in both debt and equity investments, and landlords and tenants in commercial and residential leasing.

Mr. Handwerker began his legal career with Stroock & Stroock & Lavan LLP in Manhattan, working on corporate transactions including venture capital, startups, M&A, and debt financings with both regular way and distressed companies.

He then worked at Goodwin Procter LLP in Manhattan and was a member of the private equity and debt finance groups, where he continued to work on corporate transactions with companies of all sizes and in all stages of life, as well as private equity and venture capital funds.

After graduating from The Allen-Stevenson School in Manhattan and The Loomis Chaffee School in Connecticut, Mr. Handwerker earned his B.A. magna cum laude from Emory University and his J.D. from Fordham University School of Law.

He serves as a Director and Trustee of the Amagansett Life-Saving and Coast Guard Station Society and is a co-founder of the Société des Amis du Champagne, Inc.

Mr. Handwerker is admitted to practice law in the State of New York and is a member of the New York State and New York City Bar Associations.

Representative Transactions

• Represented Noteefy Inc in seed funding rounds.
• Represented syndicate of private investors in the acquisition of Buddhaberry Yogurt in Sag Harbor.
• Represented W.H. Frank Wine & Liquor Merchants Ltd. in a simultaneous sale of the retail business and its commercial facility, which process included a site plan application.
• Represented Dreesen’s Catering, LLC in asset sale including senior secured seller financing.
• Represented Fierro’s family in acquisition of Fierro’s Pizza East Hampton to bring the business back to the family, as well as in the expansion of the business with the acquisition of Fierro’s Pizza Montauk.
• Represented East End waste management company in $30M asset sale to two strategic buyers.
• Represented landlord/owner with the lease and sale, via long term purchase options, of commercial property to the Town of East Hampton, including private, mortgage-backed financing of the property.
• Represented clean energy company with a $15M secured credit facility, consisting of a Term Loan and Delayed Draw Term Loan, and various amendments.
• Represented seller of Southampton commercial property, including private, mortgage-backed seller financing.
• Represented owner and management team in structuring private, real estate backed investment company with capital raise, acquisition and leasing of various brownstones in NYC.
• Represented Roli Retreads, Inc. in asset sale to McCarthy Tire Service.
• Represented R.A.M. Enterprises Irrigation & Turf, Inc. in asset sale to strategic buyer.
• Represented East Hampton Shucker Company in seed funding and issuance of warrants.
• Represented Sand and Sea Construction with its corporate structuring and capitalization of a new construction business on the East End.
